1. Introduction

These Terms and Conditions govern your access to and use of Waraven’s mobile applications, website, and related services.

Waraven is operated by WARAVEN TECHNOLOGIES LTD, a company registered in Nigeria (“Waraven,” “we,” “us,” or “our”).

Waraven provides a platform through which customers can browse and order groceries, foodstuffs, household essentials, beauty products, medicines where legally permitted, and other everyday necessities. We may source products from stores, markets, pharmacies, and other approved suppliers and arrange delivery to customers.

By accessing or using Waraven, you agree to these Terms and Conditions. If you do not agree, you should not use our services.

2. Eligibility and Account Registration

You must provide accurate, complete, and up-to-date information when creating or using a Waraven account.

You are responsible for:

You must not use Waraven for unlawful activities, fraudulent transactions, or any purpose that violates these terms.

We may restrict, suspend, or terminate access to an account where we reasonably suspect fraud, abuse, unlawful activity, or a serious breach of these terms.

3. Our Services

Waraven helps customers discover and order products from available suppliers and arranges fulfilment and delivery.

Depending on the product and order, Waraven may purchase items from a store or market on your behalf, coordinate fulfilment, or facilitate a transaction involving an approved vendor.

Product availability, fulfilment arrangements, delivery coverage, and service features may vary by location.

Waraven does not guarantee that every product displayed or requested will be available at all times.

4. Product Information and Pricing

We make reasonable efforts to display accurate product descriptions, images, prices, and availability.

However:

Where an item is unavailable or a material substitution or price change is required, we will communicate with you where reasonably practicable and obtain your approval when necessary.

We will not knowingly charge you for an unapproved material substitution or additional amount.

5. Orders and Order Confirmation

Placing an order constitutes a request to purchase the selected products and receive the associated services.

An order is not necessarily accepted merely because it has been submitted. Acceptance may depend on payment authorisation, product availability, location, and fulfilment capacity.

We may decline, cancel, or request clarification regarding an order where:

Where an order is cancelled after payment, any applicable refund will be handled in accordance with our refund policy and applicable law.

6. Payments, Fees and Charges

Customers must pay the applicable product prices, delivery fees, service fees, and other charges disclosed during checkout.

The total payable amount will be displayed before the order is submitted for payment.

Available payment methods may include electronic payments and any other methods we expressly support.

You authorise Waraven and its payment service providers to process payments necessary to complete your transaction.

You must not use stolen payment credentials, fraudulent payment methods, or another person's payment information without authorisation.

Where a payment fails, remains unverified, or is reversed, we may pause fulfilment or cancel the affected order.

7. Delivery

Waraven will make reasonable efforts to deliver orders within the estimated timeframe displayed or communicated to you.

Delivery times are estimates and may be affected by traffic, weather, supplier delays, product availability, operational constraints, or other circumstances beyond our reasonable control.

You are responsible for providing a complete and accurate delivery address, contact information, and any necessary access instructions.

You should ensure that you or an authorised recipient is available to receive the order.

If delivery cannot be completed because the address is incorrect, the recipient is unavailable, or access is not provided, we may contact you to arrange another attempt. Additional charges may apply only where communicated and permitted by law.

You should inspect your order upon delivery and report missing, incorrect, damaged, or spoiled items promptly through our designated support channel.

8. Cancellations, Returns and Refunds

Cancellation eligibility may depend on the order status and whether products have already been purchased, prepared, dispatched, or delivered.

You may request cancellation through the available in-app features or our customer support channels. We will communicate whether the cancellation can be accommodated.

Where an order is cancelled by Waraven, or a product is missing, incorrect, defective, damaged, or otherwise eligible for a remedy, we will assess the matter and provide an appropriate resolution in accordance with our refund policy and applicable law.

Depending on the circumstances, a resolution may include a replacement, partial refund, full refund, or other appropriate remedy.

Refund processing times may depend on the payment provider or financial institution.

Perishable goods, personal-care products, medicines, and other products subject to hygiene, safety, or legal restrictions may have specific return conditions. These conditions do not exclude any rights or remedies that cannot lawfully be restricted.

We will not use this section to deny a refund or other remedy where one is required by applicable law.

9. Medicines and Regulated Products

Waraven may make medicines and other regulated products available only where legally permitted and operationally supported.

Orders for medicines are subject to applicable Nigerian laws and regulations, including requirements relating to prescriptions, dispensing, product handling, and the authorisation of relevant professionals or establishments.

Customers must provide any information or documentation lawfully required to fulfil an order.

Waraven may refuse, suspend, or cancel a medicine order where legal, prescription, safety, availability, or verification requirements are not met.

Customers must not use Waraven to obtain medicines unlawfully or provide false prescription or patient information.

Information displayed through Waraven is not a substitute for professional medical advice, diagnosis, or treatment. Customers should consult an appropriately qualified healthcare professional regarding the use of medicines.

10. Vendors and Suppliers

Where vendors or suppliers participate in Waraven, they must provide accurate product information, comply with applicable laws, and supply products that meet relevant safety and quality requirements.

Vendors must not list counterfeit, prohibited, unsafe, expired, or unlawfully supplied products.

Waraven may review, restrict, suspend, or remove vendor listings or accounts where necessary to protect customers, comply with the law, or enforce platform requirements.

The responsibilities of individual vendors may also be governed by separate vendor agreements.

Nothing in these terms excludes any responsibility that Waraven or a vendor has under applicable law.

11. Promotional Offers and Vouchers

Waraven may provide promotional codes, vouchers, discounts, or other offers.

Each promotion may be subject to specific conditions, including eligibility, minimum order value, validity period, product or vendor restrictions, and usage limits.

Unless otherwise stated, promotions:

We will not withdraw a promotion in a manner that unlawfully deprives a customer of an accrued entitlement.

12. Prohibited Conduct

You must not:

We may take reasonable action against prohibited conduct, including cancelling affected orders or restricting accounts.

13. Intellectual Property

Unless otherwise indicated, Waraven and its licensors own or lawfully use the intellectual property associated with the platform, including its name, branding, software, design, graphics, and original content.

You may use the platform for its intended personal or authorised business purposes.

You must not copy, modify, distribute, reverse engineer, or commercially exploit protected platform materials except where permitted by law or with our prior written permission.

Product names, logos, and trademarks belonging to third parties remain the property of their respective owners.

14. Privacy and Personal Information

Waraven collects and processes personal information to provide its services, manage accounts, process orders and payments, coordinate deliveries, provide customer support, and meet legal obligations.

Personal information may include contact details, delivery information, order history, and information necessary for payment or verification.

We may share relevant information with service providers, payment processors, suppliers, shoppers, delivery personnel, and other parties where reasonably necessary to fulfil orders or operate the service, subject to applicable law.

Our collection, use, storage, and disclosure of personal information are further explained in our Privacy Policy.

By using Waraven, you acknowledge that your personal information will be handled in accordance with that policy and applicable Nigerian data protection law.

15. Service Availability and Disclaimer

We aim to keep Waraven available and functioning reliably but do not guarantee uninterrupted or error-free access.

The platform may occasionally be unavailable because of maintenance, technical issues, security incidents, or circumstances beyond our reasonable control.

To the extent permitted by law, Waraven does not guarantee that every product, listing, delivery estimate, or service feature will always be available or error-free.

Nothing in these terms excludes any consumer protection, product safety, or other statutory rights that cannot lawfully be excluded.

16. Limitation of Liability

To the extent permitted by applicable law, Waraven will not be liable for indirect or consequential losses that are not reasonably foreseeable and arise from the use of the platform.

Waraven remains responsible for obligations and liabilities imposed on it by applicable law. Nothing in these terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot legally be excluded or limited.

Any additional limitation of liability must be interpreted consistently with applicable Nigerian law and the rights of consumers.

17. Suspension and Termination

You may stop using Waraven at any time.

We may suspend or terminate access to the platform where reasonably necessary because of a serious breach of these terms, suspected fraud, unlawful activity, security concerns, or operational or legal requirements.

Where appropriate and legally permitted, we will provide notice or an explanation.

Suspension or termination does not remove obligations or rights arising from orders already placed, payments already made, or disputes that arose before termination.

18. Changes to These Terms

We may update these Terms and Conditions to reflect changes in our services, business operations, technology, or legal requirements.

The latest version will be published on our website or through the app, together with its effective or last-updated date.

Where required by law, we will provide notice of material changes.

Your continued use of Waraven after updated terms take effect constitutes acceptance where such acceptance is legally valid. If you do not agree to the changes, you should stop using the affected services.

19. Governing Law and Dispute Resolution

These terms are governed by the laws of the Federal Republic of Nigeria.

We encourage customers to contact our support team first so that complaints and disputes can be resolved informally where possible.

If a dispute cannot be resolved informally, it may be referred to a court of competent jurisdiction in Nigeria, subject to applicable law and any mandatory consumer dispute-resolution procedures.

Nothing in this section prevents a customer from exercising a statutory right to seek redress.
